Agreement to Terms

Welcome to NudgeMe. By accessing or using our service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our service.

These terms apply to all users of the service, including visitors, registered users, and premium subscribers.

Service Description

NudgeMe is an intelligent reminder service that allows you to:

• Create reminders using natural language input
• Schedule one-time and recurring reminders
• Receive notifications via push notifications, SMS, and email
• Sync reminders with Google Calendar
• Access your reminders across multiple devices
• Use AI-powered parsing to understand reminder intent

NudgeMe is provided as a web-based Progressive Web App (PWA) that can be installed on desktop and mobile devices.

User Accounts

Account Creation

To use NudgeMe, you must create an account by providing:

• A valid email address
• A secure password

You must be at least 13 years old to create an account.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up to date

Account Termination

You may delete your account at any time from your account settings. Upon deletion, all your data will be permanently removed within 30 days.

Acceptable Use

You agree to use NudgeMe only for lawful purposes. You must not:

• Use the service to send spam, harassment, or abusive messages
• Create reminders with illegal, harmful, or offensive content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without permission
• Reverse engineer, decompile, or disassemble any part of the service
• Remove or modify any copyright, trademark, or proprietary notices
• Use the service to violate any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms.

Reminder Service

Service Accuracy

While we strive to deliver reminders accurately and on time, NudgeMe:

• Cannot guarantee 100% delivery of all reminders
• May experience delays due to network issues or third-party service outages
• Relies on AI parsing which may occasionally misinterpret natural language input
• Depends on device settings, browser permissions, and internet connectivity

User Responsibility

You acknowledge that:

• NudgeMe is a convenience tool and should not be used for critical, life-or-death reminders
• You are ultimately responsible for remembering important tasks and appointments
• You should verify that reminders are correctly interpreted and scheduled
• Backup reminder systems should be used for mission-critical tasks

SMS and Notifications

SMS Terms

If you enable SMS notifications:

• You must verify your phone number before receiving SMS messages
• Standard carrier message and data rates may apply
• Message frequency depends on your reminder schedule
• You can opt out of SMS at any time from account settings
• We use Twilio as our SMS provider (see Privacy Policy)

Push Notifications

Browser push notifications require:

• Granting notification permission in your browser
• Installing NudgeMe as a PWA for background notifications
• An active internet connection on your device

Subscription Plans

Free Tier

The free tier includes:

• Unlimited reminders
• Push notifications
• Basic natural language parsing
• Google Calendar sync (read-only)

Professional Tier

Premium features include:

• SMS notifications
• Email notifications
• Advanced AI parsing
• Priority support
• Two-way Google Calendar sync

Billing

For paid subscriptions:

• Billing is handled through secure third-party payment processors
• Subscriptions renew automatically unless cancelled
• Refunds are provided according to our refund policy
• You can cancel your subscription at any time
• Upon cancellation, access to premium features ends at the end of the billing period

Third-Party Integrations

Google Calendar

Google Calendar integration:

• Requires you to authorize NudgeMe via Google OAuth
• Allows NudgeMe to read and (for premium users) write calendar events
• Can be disconnected at any time from account settings
• Is subject to Google's Terms of Service and Privacy Policy

Third-Party Services

We integrate with third-party services (Twilio, Google, Supabase) which have their own terms and policies. Your use of these integrations is subject to their respective terms.

Intellectual Property

Our Rights

All content, features, and functionality of NudgeMe, including:

• Text, graphics, logos, icons, images
• Software, code, and algorithms
• Design, layout, and look-and-feel
• Trademarks and service marks

Are owned by NudgeMe or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of the reminder content you create. By using NudgeMe, you grant us a limited license to:

• Store, process, and transmit your reminders to provide the service
• Use aggregated, anonymized data to improve our AI parsing algorithms

We will never share your individual reminder content with third parties except as required to provide the service or by law.

Service Availability

We strive to provide reliable service, but we do not guarantee:

• Uninterrupted or error-free operation
• That the service will be available at all times
• That defects will be corrected immediately
• That the service is free from viruses or harmful components

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time with or without notice.

Disclaimer of Warranties

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Security or absence of errors

Limitation of Liability

Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless NudgeMe, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms of Service
• Your violation of any third-party rights
• Content you submit to the service

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which NudgeMe is registered, without regard to conflict of law provisions.

Arbitration

Any dispute arising from these Terms or the service shall be resolved through binding arbitration, except you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree that disputes will be resolved on an individual basis and you waive the right to participate in any class action or representative proceeding.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting updated Terms on this page
• Updating the "Effective Date" at the top
• Sending email notifications for significant changes

Your continued use of the service after changes become effective constitutes acceptance of the new Terms.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Abusive or harassing behavior
• Non-payment of fees (for paid accounts)
• Any reason at our sole discretion

Upon termination, your right to use the service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NudgeMe regarding the service and supersede all prior agreements and understandings.
